Terms and Conditions for Use
Definitions
For the purposes of this Disclaimer:
- Social Marketplace is generally defined as an online marketplace where Buyers and Providers can effectively communicate and sell Products, Services and Create Events.
- Company also referred to as "KOS", "We", "Us" or "Our" in this Disclaimer, refers to KeepOnSharing.
- Site also referred to as the Website, refers to the www.KeepOnSharing.com website or the KeepOnSharing mobile application.
- Users also referred to as “Customers” or more generally as “You”, means the individual, company, or other legal entity accessing the KeepOnSharing Site.
- Buyers are Users who purchase Products, Services or attend Events on the KeepOnSharing Site.
- Providers are Users who advertise and offer Products, Services or Create Events on the KeepOnSharing Site.
- Services are the KeepOnSharing marketing systems that offer Products, Services, Requests, Events and Shareables, including but not limited to any offers made on the KeepOnSharing Site by Providers
- Platform Fee is the fee charged by the KeepOnSharing Platform that is then split between the referral program and KOS
- Clearing Fee is the fee charged by third party credit card clearing companies, typically 2.9% + $0.30 per transaction.
- Clearing Company is the third party credit card clearing company, currently www.Stripe.com
- Direct Referral is the single User who directly referred either the Buyer or the Provider in an KeepOnSharing transaction.
- Remaining Referral are all of the referring Users, EXCEPT the Direct Referral, but INCLUDING the KeepOnSharing Charity Account.
- KeepOnSharing Charity Account is a separate non-profit company account that is the top of all referral lines. It shares referral commission equally as a referral in all transactions. This account is intended for the sole benefit of the community. It acts equally in all transactions as any other User referral.
- User Generated Content ("UGC") refers to the content added by Users as opposed to content created by the KeepOnSharing Site. All content uploaded to KeepOnSharing by our Users (Buyers and Providers) is considered User Generated Content.
- Feedback is to be considered any comments, reviews, suggestions or other feedback regarding any Users, the KeepOnSharing Site or any other KOS products or Services.
KeepOnSharing Community
KeepOnSharing is focused on fun upbeat and educational content! The intention of KeepOnSharing is to make you smile. We want our users to look forward to logging in and seeing fun and encouraging posts from its users.
Terms and Conditions
The following terms and conditions of Service govern your access to and use of the KeepOnSharing Site and mobile application, including but not limited to any content, functionality and, or Services offered on or through KeepOnSharing or the KOS mobile application. By using the Site, opening an account or by clicking to accept the Terms and Conditions, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms and Conditions. If you do not want to agree to these Terms and Conditions, you must not access or use the Site.
Only registered Users may buy and sell Services on the KeepOnSharing Site. Registration is free. In registering for an account, you agree to provide KOS with accurate, complete and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your account and password. KOS is not liable for any acts or omissions by you in connection with your account.
General Use
The KeepOnSharing is a Social Network. As such, like many other Social Networks, users can share content, articles, or even other legal posts or links from other websites. Like other Social Networks, users may see ads mixed in with the content they are viewing. The difference is that KOS shares 50% of that ad revenue back with the users who created and shared that content. Here are examples of typical commissions:

- 50% goes to the Company ("KeepOnSharing")
- 25% goes to the people who referred the vendor who placed the ad, allocated as follows
- ------> 12.5% to the Direct Referral of the vendor who placed the ad
- ------> 12.5% to the Indirect Referrals who referred the vendor / number of people in the referral line
- 25% goes to the people who actually see the ad, allocated as follows
- ------> 12.5% to the actual viewer of the ad
- ------> 12.5% goes to the people who referred the viewer, allocated as follows
- -------------> 6.25% to the Direct Referral of the viewer of the ad
- -------------> 6.25% to the Indirect Referrals who referred the viewer / number of people in the referral line
KeepOnSharing also has an integrated Social Marketplace built in that allows practically anyone to sell anything at anytime from anywhere as long as it's legal and not against the KOS Terms and Conditions of use. Providers offer Products, Services, and even Events, listed and marketed on the KeepOnSharing Site. Buyers bid and purchase those Services from the Providers. Please note that KeepOnSharing ONLY pays commissions on transactions that it collects a commission. KeepOnSharing does not collect any commission on Charity listing, or listing that are designated as "Pass Through", meaning that the actual sale does not occur on the KOS Marketplace.
When sales occur that KOS collects a commission on the KOS Marketplace, KeepOnSharing facilitates the purchase and distributes the funds associated with the transaction. An example of those commissions might be as follows:

- 50% goes to the Company ("KeepOnSharing")
- 25% goes to the people who referred the Provider, allocated as follows
- ------> 12.5% to the Direct Referral of the Provider
- ------> 12.5% to the Indirect Referrals who referred the Provider / number of people in the referral line
- 25% goes to the people who referred the Buyer, allocated as follows
- ------> 12.5% to the Direct Referral of the Buyer
- ------> 12.5% to the Indirect Referrals who referred the Buyer / number of people in the referral
The Platform Fee ranges between 15% to as low as 2%. The first time a Buyer purchases from a Provider, the Platform fee is typically 15% for Services and Requests, 8% for Events and 4% for Products. If that same Buyer purchases again from that same Provider, the Platform Fee goes down to one half the original Platform Fee, 7.5% for Services and Requests, 4% for Events and 2% for Products. If that same Buyer purchases more than 2 times from the same Provider, the Platform Fee goes down again to as low as 3.75% for Services and Requests, 2% for Events and Products stay at 2%, from that point on.
The Equality Referral Program (“ERP”) pays referral commissions to all referrals. This means that KeepOnSharing’s Equality Referral Program DOES NOT have a limit to the number of referrals "down the line". Fifty percent (50%) of the ERP referral fees go to the Direct Referral. The remaining ERP referral commission is split equally between all Remaining Referrals. For example, based on a 8% Events Marketing Fee, if there are 3 referrals in the referral line; KeepOnSharing would retain 4% of the Fee. The Direct Referrals would receive approximately 2% commission (50% of the overall 4% Equality Referral Program), and the remaining 3 referrals would split the remaining referral fee equally with the KeepOnSharing Charity Account. So, each of the 3 referrals would receive approximately 0.5% commission and the KeepOnSharing Charity Account would receive approximately 0.5% (3 referrals + the KeepOnSharing Charity account = 4 total referrals / 2% remaining commission after paying the Direct Referrals). If more referrals exist the percentage referral fee would be calculated using the same algorithm. For example, if there were 9 referrals in the Remaining Referral line then the Remaining referral would be 0.2% of the total transaction, or 2% ERP commission / 10 total referrals (9 referrals + the KeepOnSharing Charity Account).
All transactions are processed through Stripe.com. In order for a User to download funds to their bank account, they must have filled out a tax identification form or declare they are exempt and do not file taxes. If the User has filed a US tax identification, Stripe will provide a downloadable tax form at the end of each fiscal year, which ends on December 31 of each year.
All payments are deposited into the KeepOnSharing account at Stripe. Any funds due to Providers and users are listed as "Pending". Once those funds are cleared (usually 3-5 days), the funds will be moved from "Pending" to "Available" on the users accounts inside of the KOS platform. Providers and users can then request some or all of those funds (in whole dollars) that are "Available" to be transferred to their bank account through Stripe.com. Stripe handles all secure data including bank account information and tax form processing. Users will be sent to Stripe.com to setup their account the first time they request funds from the KeepOnSharing site. Please note that KeepOnSharing does not receive any secure user data from Stripe.com, including but not limited to bank accounts, addresses or tax information. That information is maintained entirely by Stripe. After the initial account at Stripe is setup, Stripe will send back to KOS an encrypted account number. From that point on, any funds requests are handled using that encrypted account.
All transactions have credit card clearing fees charged by Stripe. These credit card processing fees are approximately 2.9% + $0.30 per transaction. Other third party fees may reduce these funds, including but not limited to the users bank processing fees, clearing fees, and transaction fees. KeepOnSharing does not pay any form of interest on funds. Users can withdraw funds from their account at any time in whole dollars, and are expected to do so on a regular basis.
Providers warrant that any content included in their Services shall be original work conceived by the Providers and shall not infringe any third-party rights, including, without limitation, copyrights, trademarks or Service marks. Providers are solely responsible for the Content that they provide. Providers also agree to hold KeepOnSharing harmless for any Content that they share or create.
Users may not create false identities on KeepOnSharing, misrepresent their identity, create an KOS profile for anyone other than themselves (a real person or company), or use or attempt to use another User’s account or information, or create multiple account for the same entity; User's are allowed to create multiple profiles under one email address. This allows a User to have as many profiles as they want, for example they might have one for work product, and another for family, and another for hobbies, etc. A User’s profile information, including your description, skills, location, etc., while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Even though KOS does not vet User’s Services, KOS reserves the right to require Users to go through a verification process in order to use the Site (whether by using ID, phone, email, etc.). Users are also not allowed to buy or sell KeepOnSharing accounts.
To prevent fraud and abuse, Users are limited to one active KeepOnSharing account, though they are allowed an unlimited number of Profiles within a single account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the KOS community will be disabled. Mass account creation may result in disabling of all related accounts.
KeepOnSharing may make changes to its Terms and Conditions from time to time. When these changes are made, KeepOnSharing will make a new copy of the Terms and Conditions available on this page. You understand and agree that if you use KeepOnSharing after the date on which the Terms and Conditions have changed, KeepOnSharing will treat your use as acceptance of the updated Terms and Conditions.
Users are allowed to send referral invites through the “Create Invite” link, Referral Codes or by sharing content, which includes html encrypted referral user information. Users may also invite new users and businesses using the "Invite Now" links. These invites have the User’s referral code built into them. Users may either copy and paste some or all of the default invite text or they may create their own text. Users who create their own text bare the sole responsibility for the text they create and are bound by the KeepOnSharing Terms and Conditions as well as the KOS Community Standards. KeepOnSharing cannot control nor do they bare any responsibility or liability for the text created by those Users.
Charity Designation & Distribution
The KeepOnSharing Charity account distribution is the responsibility of the KeepOnSharing Charity company. Events that are designated as Charities by Users, are not the responsibility of either the KeepOnSharing Charity, nor the KeepOnSharing company. KOS does not charge any fees for Charity based Events and Services. The net proceeds raised in these Charity designations are sent to the User who designated the Charity Event. As such, KeepOnSharing takes no responsibility for the distribution of these proceeds. It is the responsibility of the User who designated the Event or Service as a Charity to distribute these proceeds legally and appropriately.
Illegal or Illicit Materials is Prohibited
Posting illegal or illicit materials, or the organization of illegal acts, is prohibited and may result in the banning of the use of the KeepOnSharing system, the removal of all referral payments, loss of any payments due to you from KeepOnSharing, and possible criminal prosecution and litigation for damages.
Phishing and Spam
Users’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another User’s account or computer environment is strictly prohibited. It is against KOS policy and standards to contact KOS Users with offers, questions, suggestions or anything which is not directly related to KOS Services.
Age-Appropriate Supervision
This Site is offered and available to Users who are 18 years of age or older. If you are under 18 you may not use this Site or the KeepOnSharing Services. By using this Site, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements in the location that you are accessing the KeepOnSharing platform. If you do not meet all of these requirements, you must not access or use the Site. KeepOnSharing is intended to be a Social Network and Social Marketplace for Services that are rendered primarily as a "for hire" environment. As such Users are expected and required to be of legal working age. If you are below the age of 18, you are required to have adult supervision and authorization to use the KOS Site.
Community Standards and Violations
KeepOnSharing enables people around the world to create, share, sell and purchase nearly any appropriate Content and Service they need. Services offered on KeepOnSharing reflect the diversity of an expanding online Service economy. Members of the KeepOnSharing community communicate and engage through our Site, social media, and on KeepOnSharing’s Community Forums. As such KeepOnSharing maintains a friendly, community spirited, and professional environment. Users should keep to that spirit while participating in any activity or extensions of the KeepOnSharing community. This section relates to the expected conduct Users should adhere to while interacting with each other on KeepOnSharing.
Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account. KOS is open to everyone of legal age and status. You agree not to discriminate against any other User based on gender, race, age, religious affiliation, sexual orientation or otherwise. You also acknowledge that such discrimination may result in the suspension/removal of your account, which may include loss of current and ongoing revenues. While KOS does not directly monitor political posts, other social networks are more suited for political debates. Other unacceptable behavior on the KOS platform, includes but is not limited to any form of harassment, bullying, violence or personal threats posted on the KOS platform.
KeepOnSharing reserves the right to determine, in its sole discretion, what content is acceptable on the KOS platform and take action with content that it determines is not in the best interest of the KOS community. If KeepOnSharing receives too many complaints about any particular posts, it reserves the rights to remove those posts or mark them as "Private" and take possible action against the user making those posts. Actions may include, but are not limited to warnings, suspensions and account deletion.
Users may be removed from the Site for violations of these Terms and Conditions and/or our Community Standards, which may include (but are not limited to) the following violations and/or materials:
- Illegal or Fraudulent Services
- Copyright Infringement, Trademark Infringement, and violation of a third party's Terms and Conditions
- Adult oriented Services, Pornographic, Inappropriate/Obscene in the public area
- Spam, nonsense, or violent or deceptive listings or Services
- Services or listings that are misleading to Buyers or others
- Reselling of regulated goods or Services
- Offering to prepare academic works on behalf of Buyers
- Exceedingly low Provider Service quality
- Promoting KeepOnSharing Services through activities that are prohibited by any laws, regulations, and/or third parties' Terms and Conditions, as well as through any marketing activity that negatively affects relationships with KOS Users or partners.
- Services or listings may include images and videos uploaded by the Provider. These images and videos are required to have appropriate material related to the Services being offered. Providers must deliver the same quality of Service as shown on their images or videos.
- Users may not defame competing Providers by ordering from competing Services and leaving bad Reviews, and will have their reviews removed and/or further account status related actions taken as a breach of the Terms and Conditions as well as the Community Standards.
- Users are to refrain from spamming or soliciting previous Buyers or Providers to pursue removing/modifying reviews.
- Statements on User’s listings or User Generated Content that undermine or circumvent these Terms and Conditions are prohibited.
- Buyers may request Services, and as such they are also bound by the same Terms and Conditions and Community Standards as Providers are, any similar breach by a Buyer may result in the same disciplinary action as may be applied to Providers in these Terms and Conditions.
- Users agree that KeepOnSharing may, in its sole discretion, determine whether or not a User’s actions have violated the Terms and Conditions and / or Community Standards.
- Users agree that KeepOnSharing may, in its sole discretion, determine what disciplinary actions that KOS may decide to take.
To report a violation of our Terms and Conditions and/or our Community Standards, User misconduct, or inquiries regarding your account, please contact our Customer Support team through email at Violations@KeepOnSharing.com.
Privacy Policy and Consent
By using the KeepOnSharing Site, you hereby agree and consent to the Terms and Conditions as well as the Community Standards. To protect our Users' privacy, User identities are kept anonymous. Requesting or providing Email addresses, Skype/IM Usernames, telephone numbers or any other personal contact information may compromise User privacy and security. Any attempt to communicate outside of KeepOnSharing in order to circumvent or abuse the KOS messaging system or KOS platform is not permitted.
You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a Service may not be published or shared in any other way without the express permission of the User, whose information is to be published. Providers further confirm that whatever information they receive from the Buyer, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the Service to the Buyer.
Providers and Buyers should recognize that there might be a need for Users to disclose certain confidential information to be used for the purpose of delivering Services, and agree to protect such confidential information from unauthorized use and disclosure. Therefore, Users agree to treat any information received from other Users as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Users specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering Services; and (vi) not to copy or reproduce any of the information without the User’s permission.
In the course of business, KOS does collect User data. For example, Users type in their interests and the people they are following as well other transactions that are necessary to allow for the tracking of Buyer and Provider purchases and searches. At this time, KeepOnSharing does not sell any personal data that would identify an individual. KOS may however provide general statistical data for analysis to 3rd party companies, such as the number of people searching for a specific term, or other general information.
User Generated Content
KeepOnSharing does not check User Generated Content (“UGC”) uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations and the User uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on, the KOS platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Site does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or Terms and Conditions. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.
Furthermore, KeepOnSharing is not responsible for the content, quality or the level of Service provided by the Users. We provide no warranty with respect to the Services, their delivery, or any communications between Users. We encourage Users to take advantage of our rating system, our community and common sense in choosing appropriate Services.
By offering a Service, the Provider undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell or resell the Service that is offered on KeepOnSharing. Providers advertising their Services online must comply with laws and Terms and Conditions of the advertising platform or relevant Site used to advertise. Failing to do so may result in removal of the Service, as applicable, and may lead to the suspension of a User’s account.
Ownership
When purchasing a Service on KeepOnSharing, unless clearly stated otherwise on the Provider's Service page/description, when the work is delivered, and subject to payment, the Buyer is granted all intellectual property rights, including but not limited to, copyright in the work delivered from the Provider, and the Provider waives any and all moral rights therein. Accordingly, the Provider expressly assigns to the Buyer the copyright in the delivered work. All transfer and assignment of intellectual property to the Buyer shall be subject to full payment for the Service, and the delivery may not be used if payment is cancelled for any reason. For removal of doubt, in custom created work (such as art work, design work, report generation etc.), the delivered work and its copyright shall be the exclusive property of the Buyer and, upon delivery, the Provider agrees that it thereby, pursuant to these Terms and Conditions, assigns all right, title and interest in and to the delivered work to the Buyer. Some Services charge additional payments for a Commercial Use License. This means that if you purchase the Service for personal use, you will own all rights you require for such use, and will not need the Commercial Use License. If you intend to use it for any charge or other consideration, or for any purpose that is directly or indirectly in connection with any business, or other undertaking intended for profit, you will need to buy the Commercial Use License through an extended Service, as described by the Provider in the Service listing. If there is no additional information in the Providers' listing, then it is assumed that all rights, including commercial use, are transferred at the point of delivery by the Provider to the Buyer.
Furthermore, Users (both Buyers and Providers) agree that unless they explicitly indicate otherwise, the content Users voluntarily create/upload to KeepOnSharing, including Service texts, photos, videos, and any other User Generated Content, including the display of delivered work, may be used by KeepOnSharing for no consideration for marketing and/or other purposes.
Reviews
Users may rate Providers, ONLY after they have paid for and received Services from that Provider, or attended a Provider’s Event. Providers also have a sequential rating that refers to the number of Services they have sold on the KeepOnSharing Site.
Feedback reviews provided by Buyers after using a Provider’s Services are an essential part of KeepOnSharing’s rating system. Reviews demonstrate the Buyer's overall experience with the Providers and their Service. Buyers are encouraged to communicate to the Provider any concerns experienced during the execution of any Services.
Leaving a Buyer's feedback is a basic prerogative of a Buyer. Feedback reviews will not be removed unless there are clear violations of our Terms and Conditions and/or our Community Standards. Review comments given by Buyers are publicly displayed on a Provider’s profile page, and vice versus.
To prevent any misuse of our review system, all feedback reviews must come from legitimate sales executed exclusively through the KeepOnSharing platform from Users within our Site. Purchases arranged, determined to artificially enhance Provider ratings, or to abuse the KeepOnSharing platform with purchases from additional accounts, will result in a permanent suspension of all related accounts, including but not limited to the loss of unpaid funds, loss of all referral fees, and possible legal actions. Once the Buyer submits his/her review, the Provider will receive a notification and will also have the opportunity to leave a review about working with the Buyer.
To the extent that you provide KeepOnSharing with any comments, reviews, suggestions or other feedback regarding the KOS platform or the Site as a whole, as well as other KOS products or Services (collective, the “Feedback”), you will be deemed to have granted KeepOnSharing an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. KeepOnSharing is under no obligation to implement any Feedback it may receive from Users.
Dispute Resolution
We encourage our Buyers and Providers to try and settle conflicts amongst themselves. If a Buyer feels that fraud has been committed, they should reach out to their method of payment to report the transaction. KeepOnSharing does not take responsibility for transactions between Buyers and Providers. Buyers should thoroughly review a Provider’s information and reviews from other Buyers who have used the Services of the Provider. If a Buyer wishes to report fraud or a violation of these Terms and Conditions or Community Standards, they may email our dispute resolution at Disputes@KeepOnSharing.com.
Exclusive Use
You agree to use KeepOnSharing EXCLUSIVELY for billing of any Products or Services to any Customers that You were initially introduced to through KeepOnSharing. Users may not offer or accept payments using any method other than through the KOS Site. This does NOT apply to any customers that were initially met before their introduction through KeepOnSharing. Any delivery of Services or Products to Customers outside of the KeepOnSharing system, that were originally met through KeepOnSharing, may result in the banning of the use of the KeepOnSharing system, the removal of all referral payments, loss of any payments due to you from KeepOnSharing, and possible litigation for damages.
Opt Out or Account Removal
You may opt out of the KeepOnSharing system by deleting your active profiles. Please note that when you delete a profile, any remaining funds in that account are lost. Please make sure to transfer any outstanding funds in your account to your bank account before deleting a profile. Please also note that all current and future referral commissions will also be lost. Your referral line will be transferred to the KeepOnSharing Charity Account.
If for any reason KeepOnSharing deletes a User’s account for misconduct, all outstanding funds will be lost in that account and any current or future referral fees will be transferred to the KeepOnSharing Charity Account. KeepOnSharing does not benefit from any referral fees or transactions because of a User’s account being suspended or shut down.
General Disclaimer
All the information on this Site is published in good faith and for general information purposes only. KeepOnSharing does not make any warranties about the completeness, reliability and accuracy of this information. Any action you take upon the information you find on this Site, is strictly at your own risk. KeepOnSharing will not be liable for any losses and/or damages in connection with the use of our Site.
The information contained on the Site is for general information purposes only. The Company assumes no responsibility for errors or omissions in the contents of the Site. In no event shall the Company be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Site or the contents of the Site. The Company reserves the right to make additions, deletions, or modifications to the contents on the Service at any time without prior notice.

Product Endorsement Disclaimer
In order to monetize and pay for the operation of the Site, the Company may receive compensation (either monetarily or through free products) for reviews, or endorsement of a particular company, product, or Service. The Company remains independent and reviews are done based on the Company's own opinions regardless of the compensation that can be received.

Violation of Terms and Conditions
You agree that any violation of KeepOnSharing's Terms and Conditions and / or Community Standards may result in the banning of the use of the KeepOnSharing system, the removal of all referral payments, loss of any payments due to you from KeepOnSharing, and possible criminal prosecution and litigation for damages.
Any listings, materials, images, videos, or User Generated Content on the KeepOnSharing Site may be removed at the sole discretion of KeepOnSharing.
Exceedingly low ratings may lead to the suspension of the Provider’s account. For security concerns, KeepOnSharing may temporarily disable a Provider’s ability to withdraw funds to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behavior reported by other Users, or a violation of community standards.
Users may receive a warning to their account for violations of our Terms and Conditions and/or our Community Standards or any User misconduct reported to KOS. A warning will be sent to the User's email address. Warnings may lead to your account losing access or becoming permanently disabled based on the severity of the violation.

Terms and Conditions for Use
You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a Service may not be published or shared in any other way without the express permission of the User, whose information is to be published. Providers further confirm that whatever information they receive from the Buyer, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the Service to the Buyer.
Providers and Buyers should recognize that there might be a need for Users to disclose certain confidential information to be used for the purpose of delivering Services, and agree to protect such confidential information from unauthorized use and disclosure. Therefore, Users agree to treat any information received from other Users as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Users specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering Services; and (vi) not to copy or reproduce any of the information without the User’s permission.
In the course of business, KOS does collect User data. For example, Users type in their interests and the people they are following as well other transactions that are necessary to allow for the tracking of Buyer and Provider purchases and searches. At this time, KeepOnSharing does not sell any personal data that would identify an individual. KOS may however provide general statistical data for analysis to 3rd party companies, such as the number of people searching for a specific term, or other general information.
User Generated Content
KeepOnSharing does not check User Generated Content (“UGC”) uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations and the User uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on, the KOS platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Site does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or Terms and Conditions. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.Furthermore, KeepOnSharing is not responsible for the content, quality or the level of Service provided by the Users. We encourage Users to take advantage of our rating system, our community and common sense in choosing appropriate Services.
By offering a Service, the Provider undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell or resell the Service that is offered on KeepOnSharing. Providers advertising their Services online must comply with laws and Terms and Conditions of the advertising platform or relevant Site used to advertise. Failing to do so may result in removal of the Service, as applicable, and may lead to the suspension of a User’s account.
Ownership
When purchasing a Service on KeepOnSharing, unless clearly stated otherwise on the Provider's Service page/description, when the work is delivered, and subject to payment, the Buyer is granted all intellectual property rights, including but not limited to, copyright in the work delivered from the Provider, and the Provider waives any and all moral rights therein. Accordingly, the Provider expressly assigns to the Buyer the copyright in the delivered work. All transfer and assignment of intellectual property to the Buyer shall be subject to full payment for the Service, and the delivery may not be used if payment is cancelled for any reason. For removal of doubt, in custom created work (such as art work, design work, report generation etc.), the delivered work and its copyright shall be the exclusive property of the Buyer and, upon delivery, the Provider agrees that it thereby, pursuant to these Terms and Conditions, assigns all right, title and interest in and to the delivered work to the Buyer. Some Services charge additional payments for a Commercial Use License. This means that if you purchase the Service for personal use, you will own all rights you require for such use, and will not need the Commercial Use License. If you intend to use it for any charge or other consideration, or for any purpose that is directly or indirectly in connection with any business, or other undertaking intended for profit, you will need to buy the Commercial Use License through an extended Service, as described by the Provider in the Service listing. If there is no additional information in the Providers' listing, then it is assumed that all rights, including commercial use, are transferred at the point of delivery by the Provider to the Buyer.Furthermore, Users (both Buyers and Providers) agree that unless they explicitly indicate otherwise, the content Users voluntarily create/upload to KeepOnSharing, including Service texts, photos, videos, and any other User Generated Content, including the display of delivered work, may be used by KeepOnSharing for no consideration for marketing and/or other purposes.
Reviews
Users may rate Providers, ONLY after they have paid for and received Services from that Provider, or attended a Provider’s Event. Providers also have a sequential rating that refers to the number of Services they have sold on the KeepOnSharing Site.Feedback reviews provided by Buyers after using a Provider’s Services are an essential part of KeepOnSharing’s rating system. Reviews demonstrate the Buyer's overall experience with the Providers and their Service. Buyers are encouraged to communicate to the Provider any concerns experienced during the execution of any Services.
Leaving a Buyer's feedback is a basic prerogative of a Buyer. Feedback reviews will not be removed unless there are clear violations of our Terms and Conditions and/or our Community Standards. Review comments given by Buyers are publicly displayed on a Provider’s profile page, and vice versus.
To prevent any misuse of our review system, all feedback reviews must come from legitimate sales executed exclusively through the KeepOnSharing platform from Users within our Site. Purchases arranged, determined to artificially enhance Provider ratings, or to abuse the KeepOnSharing platform with purchases from additional accounts, will result in a permanent suspension of all related accounts, including but not limited to the loss of unpaid funds, loss of all referral fees, and possible legal actions. Once the Buyer submits his/her review, the Provider will receive a notification and will also have the opportunity to leave a review about working with the Buyer.
To the extent that you provide KeepOnSharing with any comments, reviews, suggestions or other feedback regarding the KOS platform or the Site as a whole, as well as other KOS products or Services (collective, the “Feedback”), you will be deemed to have granted KeepOnSharing an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. KeepOnSharing is under no obligation to implement any Feedback it may receive from Users.
Dispute Resolution
We encourage our Buyers and Providers to try and settle conflicts amongst themselves. If a Buyer feels that fraud has been committed, they should reach out to their method of payment to report the transaction. KeepOnSharing does not take responsibility for transactions between Buyers and Providers. Buyers should thoroughly review a Provider’s information and reviews from other Buyers who have used the Services of the Provider. If a Buyer wishes to report fraud or a violation of these Terms and Conditions or Community Standards, they may email our dispute resolution at Disputes@KeepOnSharing.com.Exclusive Use
You agree to use KeepOnSharing EXCLUSIVELY for billing of any Products or Services to any Customers that You were initially introduced to through KeepOnSharing. Users may not offer or accept payments using any method other than through the KOS Site. This does NOT apply to any customers that were initially met before their introduction through KeepOnSharing. Any delivery of Services or Products to Customers outside of the KeepOnSharing system, that were originally met through KeepOnSharing, may result in the banning of the use of the KeepOnSharing system, the removal of all referral payments, loss of any payments due to you from KeepOnSharing, and possible litigation for damages.Opt Out or Account Removal
You may opt out of the KeepOnSharing system by deleting your active profiles. Please note that when you delete a profile, any remaining funds in that account are lost. Please make sure to transfer any outstanding funds in your account to your bank account before deleting a profile. Please also note that all current and future referral commissions will also be lost. Your referral line will be transferred to the KeepOnSharing Charity Account.If for any reason KeepOnSharing deletes a User’s account for misconduct, all outstanding funds will be lost in that account and any current or future referral fees will be transferred to the KeepOnSharing Charity Account. KeepOnSharing does not benefit from any referral fees or transactions because of a User’s account being suspended or shut down.

The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with KeepOnSharing, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
Violation of Terms and Conditions
You agree that any violation of KeepOnSharing's Terms and Conditions and / or Community Standards may result in the banning of the use of the KeepOnSharing system, the removal of all referral payments, loss of any payments due to you from KeepOnSharing, and possible criminal prosecution and litigation for damages.
Any listings, materials, images, videos, or User Generated Content on the KeepOnSharing Site may be removed at the sole discretion of KeepOnSharing.
Exceedingly low ratings may lead to the suspension of the Provider’s account. For security concerns, KeepOnSharing may temporarily disable a Provider’s ability to withdraw funds to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behavior reported by other Users, or a violation of community standards.
Users may receive a warning to their account for violations of our Terms and Conditions and/or our Community Standards or any User misconduct reported to KOS. A warning will be sent to the User's email address. Warnings may lead to your account losing access or becoming permanently disabled based on the severity of the violation.
